Order of precedence. If you have signed a Master Services Agreement, Statement of Work or order form with us, that document governs the engagement and wins wherever it conflicts with this page. These terms fill the gaps and cover your use of this website.
01 Agreement to these terms
These Terms & Conditions form an agreement between you and Aviox Technologies Pvt Ltd, registration number CIN to confirm, registered at E-299 Corporate Greens, Sector 75 Industrial Area, SAS Nagar, Punjab 160055, India.
By using this website or engaging us for services, you confirm that you accept these terms and that you have authority to accept them on behalf of the organisation you represent. If you do not accept them, please do not use the site or engage us.
02 Definitions
- Services — the consulting, design, engineering, AI development, automation, support and managed services we provide.
- SOW — a Statement of Work, proposal or order form describing scope, timeline, team and fees for a specific engagement.
- Deliverables — the software, models, configurations, documentation and other materials we produce for you under an SOW.
- Client Materials — data, content, systems, credentials and third-party licences you provide so we can do the work.
- Background IP — anything either party owned or developed independently of the engagement, including our frameworks, libraries, accelerators and internal tooling.
03 Use of this website
You may use this site for legitimate business purposes. You may not:
- Attempt to gain unauthorised access to the site, its servers or any connected system.
- Scrape, harvest or systematically extract content except as a standard search engine crawler.
- Introduce malware, attempt denial of service, or otherwise interfere with availability.
- Reproduce substantial portions of our content commercially without written permission.
- Misrepresent an affiliation with Aviox, or use our name or marks in a way that implies endorsement.
Content on this site is provided for general information. Case study figures describe outcomes for specific clients in specific circumstances and are not a promise of comparable results.
04 Services and scope
Each engagement is defined by its own SOW. That document sets the scope, deliverables, assumptions, dependencies, team, timeline and fees. Anything not written into an SOW is out of scope.
We will perform the Services with reasonable skill and care, using appropriately qualified people, in line with good industry practice. Where an SOW states a timeline, we will use commercially reasonable efforts to meet it, but dates depend on the dependencies and assumptions recorded in that SOW.
Change requests
Scope changes are normal and we would rather handle them openly. Either party may request a change; we will confirm the impact on cost and timeline in writing, and work proceeds on the revised basis once both parties agree. We will not action a change that affects fees without your written approval.
05 Your responsibilities
Delivery depends on things only you can provide. You agree to:
- Give timely access to systems, environments, data and the people we need decisions from.
- Nominate a single decision-maker empowered to approve scope, designs and releases.
- Ensure you have the rights and lawful basis to give us any Client Materials, including any personal data.
- Hold the licences required for third-party software, models or data used in the engagement.
- Review and respond to deliverables within the periods stated in the SOW.
Where a delay is caused by a dependency on your side, timelines and fees may be adjusted proportionately. We will tell you as soon as we see it coming rather than at invoice time.
06 Fees, invoicing and payment
- Fees, currency and the billing model — fixed fee, time and materials, or retainer — are set in the SOW.
- Unless the SOW says otherwise, invoices are payable within 30 days of the invoice date.
- Fees exclude taxes. You are responsible for GST, VAT, sales tax or equivalent, and for any withholding required in your jurisdiction.
- Pre-approved expenses, such as travel or third-party licences bought on your behalf, are recharged at cost.
- Overdue amounts may accrue interest at rate to confirm per month, and we may suspend work after written notice and a reasonable opportunity to pay.
Third-party costs we incur on your instruction — model inference, cloud hosting, licences — are passed through without markup unless the SOW states otherwise.
07 Intellectual property
The split is deliberately simple:
- You own the Deliverables. On full payment of the fees for the relevant SOW, we assign to you all rights in the bespoke Deliverables created for you under it.
- You own your Client Materials. Nothing here transfers any right in your data, content or systems to us.
- We keep our Background IP. Our frameworks, libraries, accelerators, evaluation harnesses and internal tooling remain ours. Where a Deliverable includes Background IP, we grant you a perpetual, worldwide, non-exclusive, royalty-free licence to use it as part of that Deliverable.
- Third-party and open-source components remain under their own licences, which we will identify in the delivery documentation.
- Residual knowledge. We may use the general skills, methods and know-how our people gain, provided we disclose none of your Confidential Information.
We may reference your name and a general description of the work in our portfolio only with your written consent, and we will not publish figures or detail you have not approved.
08 AI-specific terms
Because much of what we build involves machine learning and generative models, some things need saying explicitly.
- Models are probabilistic. AI systems produce outputs that are statistically likely, not guaranteed correct. We do not warrant that any model output will be accurate, complete or fit for a particular decision.
- Human oversight is your responsibility. Where outputs inform decisions with legal, financial, medical, safety or similarly significant consequences, you must maintain appropriate human review. We will design for it; you must operate it.
- Accuracy targets are measured, not promised. Where an SOW sets a quality threshold, it is measured against an agreed evaluation set using an agreed method. Performance on that set is not a warranty of performance on all future inputs.
- Training data. We will not use your Confidential Information or personal data to train models for any party other than you, and we deploy against provider tiers with training opt-out or self-hosted models as the SOW specifies.
- Third-party model providers. Where a system depends on an external model API, that provider's availability, pricing, terms and model behaviour are outside our control. We will design for substitutability, but changes a provider makes are not our breach.
- Regulatory classification. You are responsible for determining how a deployed system is classified under applicable AI regulation and for any registration or conformity obligations that follow. We will provide the technical documentation needed to support that assessment.
09 Confidentiality
Each party may receive information the other treats as confidential. Both parties agree to use it only for the engagement, to protect it with at least the care they apply to their own confidential information, and to disclose it only to people who need it and are under equivalent obligations.
These obligations do not apply to information that is public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law — in which case the disclosing party gets notice where legally permitted. Confidentiality survives termination for five years, and indefinitely for trade secrets.
10 Data protection
Where we process personal data on your behalf, you are the controller and we are the processor. A data processing agreement setting out the subject matter, duration, nature, purpose, categories of data and security measures will be executed alongside the SOW and forms part of the agreement.
How we handle personal data in our own right is described in our Privacy Policy.
11 Security, newsletters and messaging
Security of this website and your enquiries
We use reasonable technical and organisational measures to protect the information you send us through this website, including encrypted connections, access controls limited to people who need the information, and logging of access to systems that hold it. No method of transmission or storage is completely secure, so we cannot guarantee absolute security. Please do not send passwords, payment card numbers or other highly sensitive information through our forms. If you believe you have found a security issue, tell us at contact@avioxtechnologies.com and give us reasonable time to respond before you disclose it.
Newsletter emails
If you subscribe to our newsletter, we use your email address to send occasional notes on AI, automation and engineering and updates about Aviox. On some pages, such as product and career detail pages, we ask you to subscribe before you keep reading; subscribing there is subject to the same terms. Every email includes an unsubscribe link, and you can also write to us to be removed. We do not sell your email address.
WhatsApp opt-in
- How you opt in. You opt in by agreeing, in a WhatsApp chat with us, to receive updates — including a chat that starts from an Aviox advertisement. Sending us a contact, demo or quote form does not by itself opt you in to marketing messages, and opting in is not a condition of receiving any service.
- What we send. Replies to your request, confirmations and reminders for demos, and — because you opted in — occasional campaign messages such as new services or products, events and offers. We send them through the WhatsApp Business Platform to the number you message us from or have given us.
- Service replies and marketing. Replies to a message you start, sent within the window WhatsApp allows, are service messages. We ask for marketing permission separately, inside the chat, and you can say no and still get a reply.
- Opting out. Reply STOP to any message, or email contact@avioxtechnologies.com, and we will stop marketing messages promptly. You can opt in again at any time.
- WhatsApp’s own terms. Messages travel over WhatsApp, so WhatsApp’s terms and privacy policy also apply to your use of it, and your mobile carrier may charge for data.
How we use this information for campaigns
When you submit a form, subscribe to the newsletter or opt in, we use your name, email address, phone number, company, industry and the product or service you asked about to answer you, to run email and WhatsApp campaigns you have agreed to, to group people by interest so messages stay relevant, and to measure which messages are useful. We keep a record of your agreement to these terms and the Privacy Policy and of any marketing consent — the form or chat it came from, the number or address, and the date and time — so we can show it later. We share the information only with service providers who help us send messages and manage enquiries, under contracts that limit their use of it, and with no one else for their own marketing. We keep contact details for as long as you stay opted in, plus retention period to confirm to evidence consent. Our Privacy Policy explains your rights to access, correct or delete this information.
12 Warranties and disclaimers
We warrant that the Services will be performed with reasonable skill and care, and that Deliverables will conform in material respects to the specification in the SOW for 90 days after acceptance. Your remedy for a breach of that warranty is that we re-perform or correct the affected work at our cost.
Beyond the warranties stated here, and to the fullest extent permitted by law, the Services and the website are provided without other warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation of any system.
13 Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be limited.
Subject to that:
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill, business opportunity or data, however arising.
- Each party's total aggregate liability arising out of an SOW is limited to the fees paid or payable under that SOW in the 12 months preceding the claim.
- Claims must be brought within 12 months of the date the claiming party became aware of the circumstances giving rise to them.
These limits reflect the commercial balance of the fees charged, and both parties accept them as reasonable.
14 Term, suspension and termination
An engagement runs for the period in its SOW. Either party may terminate:
- For convenience, on 30 days written notice, unless the SOW states otherwise.
- For material breach, if the other party has not remedied it within 30 days of written notice.
- Immediately, on the other party's insolvency or equivalent event.
On termination you pay for Services performed and costs committed up to the termination date. We will hand over completed Deliverables, work in progress, credentials and documentation, and provide reasonable transition assistance on our standard rates. Clauses on IP, confidentiality, data protection, liability and governing law survive.
15 Events outside our control
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, changes in law, failures of public telecommunications or power networks, and sustained outages of third-party cloud or model providers. The affected party will notify the other promptly and both will work to mitigate. If the event continues beyond 60 days, either party may terminate the affected SOW without liability.
16 General
- Independent contractors. Nothing here creates a partnership, joint venture or employment relationship.
- Subcontracting. We may use subcontractors but remain responsible for their work and bind them to equivalent obligations.
- Non-solicitation. Neither party will directly solicit the other's personnel involved in an engagement during it and for 12 months afterwards, excluding responses to general public advertising.
- Assignment. Neither party may assign the agreement without the other's written consent, not to be unreasonably withheld, except to a successor of substantially the whole business.
- Entire agreement. The SOW, any signed MSA and these terms are the whole agreement and supersede prior discussions.
- Severability. If any provision is unenforceable, the rest continues in force.
- No waiver. A failure to enforce a right is not a waiver of it.
- Notices. Written notices take effect when delivered to the addresses in the SOW or, for us, to contact@avioxtechnologies.com.
17 Governing law and disputes
These terms are governed by the laws of jurisdiction to confirm — India or Minnesota, USA, and the parties submit to the exclusive jurisdiction of its courts.
Before starting proceedings, both parties agree to escalate the dispute to senior representatives and attempt to resolve it in good faith within 30 days. Neither party is prevented from seeking urgent injunctive relief where it is genuinely needed.
18 Changes to these terms
We may update these terms as our services change. The effective date at the top reflects the current version, and changes apply from the date they are published. Changes do not alter the terms of an SOW already signed — those are varied only by written agreement.
